FUNBUTLER POS SYSTEM ADDON AGREEMENT – 2025-05-23 v1
This POS System Addon Agreement (“Addon Agreement”) is an addendum to the Funbutler User Agreement and License (“Main Agreement”) between Funbutler AB, VAT SE559031654201 (“The Supplier”) and the Customer as defined in the Main Agreement.
1. SCOPE AND APPLICATION
1.1 This Addon Agreement governs the Customer’s use of the Point of Sale (POS) system functionality (“POS Addon”) as an extension to the Funbutler Booking System.
1.2 By activating or using the POS Addon, the Customer agrees to be bound by the terms of this Addon Agreement in addition to the Main Agreement.
1.3 In the event of any conflict between this Addon Agreement and the Main Agreement, the terms of this Addon Agreement shall prevail with respect to the POS Addon functionality.
1.4 The Customer acknowledges that the use of the ExtandaGO POS application is also subject to ExtandaGO’s Terms and Conditions, which the Customer must accept separately.
2. POS ADDON DESCRIPTION
2.1 The POS Addon provides the Customer with integrated point-of-sale capabilities that work in conjunction with the Funbutler Booking System. The Customer expressly acknowledges that the POS application is provided by ExtendaGO and is not software developed by Funbutler. Funbutler only provides the integration between its booking system and the ExtandaGO POS application.
2.2 The POS Addon functionality includes, but is not limited to:
a) Processing in-person payments
b) Managing inventory
c) Tracking sales data
d) Generating receipts
e) Integrating with supported third-party services
2.3 The POS Addon is designed specifically for activity centers and family entertainment centers (FEC) to complement the booking and operational functionalities of the Main Service.
3. AUTHORIZED PARTNER RELATIONSHIP
3.1 Funbutler is an authorized partner of ExtendaGO. In accordance with ExtendaGO’s partner terms, this agreement is entered into between the Customer and Funbutler, with ExtendaGO not being a direct party to this end-user agreement.
3.2 The Customer acknowledges that while Funbutler handles registration, activation, payment, and support for the integrated solution, the Customer must apply and accept ExtendaGO’s general terms of condition for usage of the ExtendaGO POS software.
INTEGRATION WITH THIRD-PARTY SERVICES
4.1 The POS Addon may integrate with various third-party services including but not limited to Onslip, Klarna, Stripe, Fortnox, TripleTex, and other payment processors or accounting systems.
4.2 Customer acknowledges that use of these integrated services may be subject to separate terms and conditions imposed by those third parties.
4.3 Funbutler does not guarantee the continued availability or functionality of any third-party integrations and may add, modify, or remove integration options at its discretion.
4.4 Funbutler is not responsible for any issues arising from third-party integrations, including but not limited to data synchronization errors, service interruptions, or security breaches originating from integration partners.
5. SUBSCRIPTION AND PAYMENT TERMS
5.1 The POS Addon is available as an additional subscription to Customers with an active subscription to the Funbutler Booking System.
5.2 Pricing for the POS Addon will be as specified in the order form or as otherwise agreed in writing between Funbutler and the Customer.
5.3 Billing for the POS Addon will follow the same billing cycle as the Main Service unless otherwise specified.
5.4 Transaction fees, if applicable, will be charged according to the current fee schedule provided to Customer.
5.5 All pricing terms from Section 7 of the Main Agreement apply to the POS Addon, including Funbutler’s right to adjust prices to accommodate inflation and rising costs.
5.6 Funbutler reserves the right to change the Subscription Fee at its own discretion with ninety (90) days’ notice period. If the Customer does not accept the change, the Customer must cease to use the POS Addon within ninety (90) days from the final date of the notice period.
6. LICENSE AND USABILITY
6.1 Subject to this Addon Agreement, Funbutler grants the Customer a non-transferable, non-exclusive, limited-in-time license to use the POS Addon for its business purposes.
6.2 The Customer undertakes not to:
a) Modify, reproduce, develop or compile, reverse engineer or otherwise deduce the source code of the POS Addon;
b) Remove, alter, conceal or obscure any notice of copyright, trademarks or other proprietary rights belonging to the POS Addon; or
c) Create or attempt to create software that is similar and/or can be confused with the POS Addon.
7. HARDWARE AND TECHNICAL REQUIREMENTS
7.1 Customer acknowledges that certain POS Hardware may be required to fully utilize the POS Addon.
7.2 Funbutler does not provide hardware directly. All POS Hardware is provided by Funbutler’s authorized partners, who are responsible for invoicing and supporting the hardware. Any hardware warranties are provided solely by these partners or the hardware manufacturers.
7.3 Customer is responsible for maintaining compatible devices, internet connectivity, and other technical requirements as specified in the documentation provided by Funbutler and ExtendaGO.
7.4 The POS Addon will only function properly if used together with hardware approved by ExtendaGO. The Customer is responsible for ensuring compatibility between the hardware and the POS Addon.- DATA MANAGEMENT AND SECURITY
8.1 All data collected and processed through the POS Addon is subject to the same data protection terms as outlined in Section 6 of the Main Agreement.
8.2 Customer is responsible for complying with all applicable laws and regulations regarding the collection, storage, and processing of customer payment information.
8.3 Funbutler will implement reasonable security measures to protect transaction data processed through the POS Addon, consistent with Section 10 of the Main Agreement.
8.4 The Customer shall ensure the confidentiality and security of their POS Addon account and is responsible for any activity conducted through their account.
8.5 The Customer guarantees that they are entitled to upload, transmit, and store the information that they upload, transmit, or store via the POS Addon.
9. SUPPORT AND MAINTENANCE
9.1 Funbutler will provide support for the integration aspects of the POS Addon in accordance with the support terms outlined in Section 11 of the Main Agreement. Support for the POS application itself is provided by Dekon AS as an authorized partner of Funbutler and the software developer ExtendaGO.
9.2 Basic user support is available via email and Funbutler’s support channels. Such support is included in the Subscription Fee.
9.3 Support for any POS Addon Customizations is provided within the warranty period of 3 months, after which Customizations are handled according to the current consulting rate.
9.4 Scheduled maintenance will be communicated to Customer in advance whenever possible.
10. INTELLECTUAL PROPERTY RIGHTS
10.1 All intellectual property rights provisions in Section 12 of the Main Agreement apply equally to the POS Addon integration developed by Funbutler.
10.2 Customer acknowledges that Funbutler is the sole holder of all intellectual property rights attributable to the Funbutler integration components of the POS Addon.
10.3 Customer acknowledges that ExtandaGO is the sole holder of all intellectual property rights attributable to the ExtandaGO POS application.
10.4 The intellectual property rights to any developments of the POS Addon (whether ordered by the Customer or not) will be the sole property of Funbutler or ExtendaGO, as applicable.
11. WARRANTY AND LIMITATION OF LIABILITY
11.1 The warranty and limitation of liability provisions set forth in Sections 15 and 16 of the Main Agreement apply equally to the POS Addon.
11.2 Funbutler does not guarantee that the POS Addon will meet the Customer’s specific requirements or that it will function correctly with the Customer’s choice of equipment, systems, or settings.
11.3 Customer expressly acknowledges and agrees that Funbutler does not take responsibility for functions in the ExtandaGO POS application that do not work as expected or that cause direct or indirect damage to the Customer’s financials, income, or guest experience. All such issues must be addressed directly with ExtandaGO through Funbutler as the authorized partner.
11.4 Funbutler’s responsibility is limited to the proper functioning of the integration between the Funbutler Booking System and the ExtandaGO POS application. Funbutler is not responsible for the functionality, performance, or reliability of the ExtandaGO POS application itself.
11.5 Neither party shall be liable for indirect damages, including but not limited to, loss of data, loss of profit, loss of revenues or expected savings, loss of production, loss of goodwill, third-party losses or other indirect losses, regardless of its nature, under this Addon Agreement.
11.6 Funbutler’s total liability related to the POS Addon shall be subject to the same limitations as specified in Section 16 of the Main Agreement.
12. CUSTOMER OBLIGATIONS
12.1 The Customer undertakes to:
a) Comply with Funbutler’s and ExtendaGO’s applicable security instructions and procedures for using the POS Addon;
b) Be responsible for all third-party software and equipment within the Customer’s internal IT environment;
c) Provide all information affecting the POS Addon required for Funbutler to perform its obligations;
d) Perform its obligations and duties with qualified and skilled personnel and sufficient resources;
e) Immediately notify Funbutler about any virus attack, vulnerability, stolen passwords/codes, or similar events;
f) Not use the POS Addon in a manner that prevents or disrupts computer communications or equipment.
12.2 The Customer shall take all necessary precautions to prevent the introduction of viruses and unauthorized access to the POS Addon.
12.3 The Customer agrees to use the POS Addon for its intended purposes and shall not use it for any unlawful purpose or purpose that could create damage for Funbutler, ExtendaGO, or any third party.
13. TERM AND TERMINATION
13.1 This Addon Agreement commences upon Customer’s activation of the POS Addon and continues until terminated in accordance with this section.
13.2 Customer may terminate the POS Addon subscription without terminating the Main Service by providing written notice in accordance with the termination terms in Section 8 of the Main Agreement.
13.3 Termination of the Main Agreement automatically terminates this Addon Agreement.
13.4 In the following situations, Funbutler may, without notice and without liability, terminate and discontinue the Customer’s access to the POS Addon:
a) The Customer violates this Addon Agreement;
b) Upon a request by the police, prosecutor, or other public authorities;
c) Upon the Customer’s own request; or
d) The Customer fails to pay the Subscription Fee for two consecutive months.
13.5 Upon termination, Customer shall cease all use of the POS Addon and pay all outstanding fees related to the POS.
14. FORCE MAJEURE
14.1 If a party is prevented from fulfilling its obligations under this Addon Agreement due to circumstances beyond that party’s control, including but not limited to labor conflicts, lightning, fire, war, terror attacks, hacker attacks, data viruses, ransomware, malicious code, natural disasters, confiscation, currency restrictions, official decrees, riots, public utility failures, amendment of rules by public authorities, interventions by public authorities, new legislation, court decisions, limitations regarding transportation, fuel, supplies, connectivity, telecommunication, or energy, and fault or delay from supplier or subcontractor for the same reasons, this shall constitute grounds for release resulting in an extension of the deadline for performance and release from liability for damage and other sanctions while such circumstances persist.
14.2 The party affected by Force Majeure shall without undue delay notify the other party in writing, specifying the reason for the inability to perform in accordance with the Addon Agreement.
14.3 If, as a result of Force Majeure, the fulfillment of an obligation is delayed by more than ninety (90) days, either party shall be entitled to terminate this Addon Agreement with immediate effect without incurring any liability.
15. GENERAL PROVISIONS
15.1 This Addon Agreement, together with the Main Agreement, constitutes the entire agreement between the parties regarding the POS Addon.
15.2 All definitions from Section 19 of the Main Agreement apply to this Addon Agreement.
15.3 This Addon Agreement shall be governed by Swedish law in accordance with Section 17 of the Main Agreement.
15.4 Any dispute arising out of or in connection with this Addon Agreement shall be resolved in accordance with the dispute resolution provisions in the Main Agreement.
By activating or using the POS Addon, Customer acknowledges that they have read, understood, and agree to be bound by the terms of this Addon Agreement.
